Welcome to Rubysoft Ltd (’Company’, ’we’, ’our’, ’us’). These Terms of Service (’Terms’) govern your access to and use of our software development services, including any related applications, platforms, and websites (collectively, the ’Services’).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2.1 Service Tiers

We offer three primary service tiers:

• Prototype: A preliminary working model of the digital product that demonstrates core functionality and primary user interfaces, designed to gather meaningful user feedback in a sandbox environment.
• MVP (Minimum Viable Product): A deployable version of the digital product that includes all essential features required to satisfy primary user needs and generate revenue in a production environment.
• Production: The fully optimized, scaled, and stabilized version of the digital product that includes all essential and enhanced features, designed to deliver consistent value to a broad user base in a secure, monitored environment.

2.2 Service Delivery

We will provide the Services with reasonable skill and care in accordance with industry standards. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

3.1 Cooperation

You agree to:

• Provide timely and accurate information necessary for the provision of Services
• Review and provide feedback on deliverables within agreed timeframes
• Designate a primary contact person with authority to make decisions
• Obtain any third-party permissions or licenses necessary for the project

3.2 Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Distribute malicious software or engage in harmful activities
• Attempt to gain unauthorized access to our systems or data

4.1 Client Materials

You retain all rights to materials you provide to us for use in the project. You grant us a limited license to use these materials solely for the purpose of providing the Services.

4.2 Deliverables

Upon full payment of all fees, you will own all rights to custom code and deliverables created specifically for your project, except as outlined in section 4.3.

4.3 Pre-existing Materials

We retain ownership of all pre-existing materials, proprietary tools, frameworks, and components that we use in the provision of Services. We grant you a non-exclusive, perpetual license to use these materials as incorporated into your deliverables.

IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
